Merchant Service Level Agreement (SLA)

2. PREAMBLE & DESCRIPTION OF SERVICE
Wayta provides an interactive, contactless, tableside QR digital menu, self-service ordering, and mobile checkout gateway platform (the "Platform") allowing patrons of restaurants, hospitality venues, events, and trade merchants (each a "Partner") to transact immediately. This SLA governs the operational support, financial payout structure, and liabilities of both parties.
3. 30-DAY FREE TRIAL & NOMINAL SUBSCRIPTION
- Free Trial Period: To assist Partners with operational onboarding, Wayta will provide complete access to the Platform, standard digital menu listing, tableside ordering, and basic platform support services completely free of charge for thirty (30) calendar days from the date of system activation ("Trial Period").
- Subsequent Subscription: Following the completion of the 30-Day Trial Period, should the Partner choose to remain active on the App, a nominal subscription fee of per month shall apply. Wayta will provide at least thirty (30) days' written notice of any prospective pricing changes.
4. REIMBURSEMENT POLICY & ORDER LIABILITY (FREE TRIAL PERIOD)
To maintain consumer confidence and ensure seamless support for patrons navigating the new digital platform:
5. SECURE TRANSACTION PAYMENTS & PAYOUT SCHEDULE
- Payment Aggregation: All customer payments made on the Platform are processed through Wayta's integrated secure gateway managed by Paystack (Pty) Ltd in South Africa, meeting absolute PCI-DSS compliance standards.
- Disbursement Schedule: Collected funds minus standard payment gateway clearing charges (and subscription fees, where applicable post-trial) will be disbursed to the Partner's nominated South African banking details (Schedule A) on a T+2 business days settlement cycle.
6. COMPLIANCE & LEGAL RESPONSIBILITIES
- Consumer Protection Act (CPA): Partners warrant that catalog listing descriptions, image previews, and prices uploaded to the Platform are accurate, updated, and represent actual operational availability.
- POPIA Compliance: Both parties agree to protect the privacy of any personal data processed through the platform (names, contact numbers, order histories) and will not share or repurpose this data without explicit consumer consent.
7. CANCELLATION & TERM
Either party may cancel this agreement at any time during the Trial Period or the active subscription phase by giving seven (7) days written notice. Wayta will settle all remaining, completed payouts due to the Partner within standard clearing timeframes.
